These terms and conditions govern access to and use of “mentiness.com” (hereinafter “Mentiness” or the “website”), as well as its linked platform and the artificial intelligence tools made available to users.

2.- ACCEPTANCE

By accessing “mentiness.com”, together with its linked platform and AI tools, the user is deemed to accept these Terms and Conditions, along with the Privacy Policy and Cookie Policy, and undertakes not to use them for illegal, unlawful or purposes contrary to these terms and conditions.

The minimum age for using Mentiness is 18 years. In the case of minors, parents, guardians or legal representatives shall be held responsible.

3.- SERVICE DESCRIPTION AND INFORMATION

Mentiness is a comprehensive well-being and development platform for the workplace that offers the following services:

3.1.- Well-being and psychology services

Mentiness connects company employees with duly qualified and licensed psychologists through individual sessions (lasting between 45 and 60 minutes), workshops and online training.

The services offered by Mentiness consist of a base plan, with a range of add-ons to be chosen by the client company:

• Individual sessions
• Session packages
• Co-payment arrangement: the cost is shared between the company and its employee.

Companies must meet the requirement of having a minimum of 10 employees using the Mentiness service.

Payment for services is made directly to Mentiness, which has a specific contractual relationship with the mental health professionals.

Mentiness also offers a prepayment option. If a session package is purchased, Mentiness will refund the amount for any unused sessions. This does not apply in relation to the frequency of use by the company’s employees on the platform.

3.2.- Artificial intelligence tools

In addition to well-being and psychology services, Mentiness makes artificial intelligence (AI) tools available to companies and their teams, including:

a) LeIA — AI-Powered Conversation Simulator

LeIA is an AI-powered conversational simulation tool designed to train communication and leadership skills. The user (manager) accesses practice scenarios (e.g., difficult feedback, conflict management, underperformance) and holds a simulated conversation with an AI avatar playing the role of a fictional employee. Upon completion, LeIA generates personalized feedback with practical suggestions.

b) AI Health Assistant

An AI-based personalized support tool that provides general well-being guidance.

c) AI Onboarding Assistant (beta)

A beta-phase tool that facilitates the onboarding process for new employees through AI-guided conversations.

3.3.- Registration and access

Service users may access the platform using the login credentials provided by their companies, which may include access via corporate Single Sign-On (SSO) with multi-factor authentication (MFA) in accordance with the client company’s policies.

3.4.- Pricing and payment methods

Prices will be set out in the specific proposals that MENTINESS presents to each company, calculated based on the option chosen for the provision of the services offered.

If an employee requires the services of a specific psychologist outside the contracted service, payment will also be made through Mentiness.

4.- NATURE AND LIMITATIONS OF AI TOOLS

The user acknowledges and accepts that Mentiness AI tools (LeIA, Health Assistant, Onboarding Assistant) are subject to the following conditions:

• Exclusively training and guidance purpose. Mentiness AI tools do not constitute professional advice of any kind (neither psychological, medical, legal nor employment-related). LeIA is a training tool based on fictional simulations; the Health Assistant provides general well-being guidance; the Onboarding Assistant facilitates onboarding. None of them replace professional human judgment.
• Possibility of inaccuracies. AI-generated responses are produced by language models that may generate inaccurate, incomplete or content not suited to all real-world circumstances. The user must exercise their own judgment when interpreting and applying any suggestions received.
• Interaction with AI, not with people. The user is informed at all times that they are interacting with an artificial intelligence tool, not a natural person. The characters played by AI in LeIA simulations are entirely fictional.
• No model training with personal data. Mentiness AI providers are contractually obligated not to use user data for training their models.
• Prohibition of use for employment decisions. The scores, evaluations and feedback generated by LeIA serve an exclusively training and self-development purpose. Their use is expressly prohibited — both by Mentiness and by the client company — for employment decisions such as performance evaluations, promotions, sanctions or dismissals. This prohibition is also set out in the service contracts and Data Processing Agreements (DPAs) signed with each client.

5.- ACCEPTABLE USE OF AI TOOLS

The user undertakes to use Mentiness AI tools responsibly and in accordance with their intended purpose. In particular, the following is prohibited:

• Attempting to extract, through the AI tools, personal data or confidential information of other users, the company or Mentiness.
• Manipulating, reverse-engineering or attempting to alter the behavior of AI models for purposes other than the intended use.
• Introducing unlawful, offensive, discriminatory, threatening content or content that infringes third-party rights into simulations or interactions with AI.
• Using AI tools to generate content for commercial, advertising or any other purposes unrelated to the contracted service.
• Sharing with unauthorized third parties the content or scores generated by the AI tools for the purpose of evaluating, ranking or harming other individuals.

Breach of these conditions may result in the suspension or cancellation of the user’s access to the AI tools, without prejudice to any other actions that may apply.

6.- INTELLECTUAL AND INDUSTRIAL PROPERTY

MENTINESS reserves all its intellectual and industrial property rights, so that all content and information (images, texts, software, AI models, scenarios, algorithms, etc.) are its property or it holds the necessary authorizations for their use.

Any modification, reproduction, copying, distribution or any other form of exploitation for commercial or equivalent purposes of the content and information contained in Mentiness is expressly prohibited, including simulation scenarios, AI-generated feedback and the structure of training programs. Any other use of the content or information shall require the prior written consent of MENTINESS.

7.- LICENSE OF USE AND CONTENT OWNERSHIP

The use of Mentiness enables the collection, processing and management, in a virtual and responsible manner, of the data provided by users.

For the purposes of these Terms, the following content categories are distinguished:

• User personal data: users own their personal data (name, email, etc.). MENTINESS processes it in accordance with the Privacy Policy.
• User-generated content in AI simulations: the text written by the user during interactions with AI tools is owned by the user. MENTINESS holds a non-exclusive license to store and process it for the sole purpose of providing the service (generating feedback, enabling review of previous sessions and producing anonymous aggregated metrics).
• AI-generated content: the responses, feedback and scores generated by Mentiness AI tools are the property of MENTINESS. The user holds a non-exclusive license to view and use them for personal self-development purposes, within the framework of the contracted service.
• Aggregated and anonymous metrics: metrics derived from platform usage, once anonymized, are the property of MENTINESS and may be used for statistical analysis, research and service improvement as described in the Privacy Policy.

The license over personal data and user-generated content shall terminate upon deletion of the user’s data or termination of the service contracted by the client company, in accordance with the retention periods established in the Privacy Policy. The user’s consent shall be required should MENTINESS wish to grant third parties the right to use user content.

8.- DATA OWNERSHIP AND PRIVACY

Users are the sole owners of the personal data and information collected in Mentiness. Access to such data is primarily carried out to provide the service in the best possible manner.

Mentiness reserves the right to anonymize user data and information for the purposes of statistical analysis and research in areas that include, but are not limited to, mental health, well-being and AI-mediated well-being. Such anonymized data shall not contain personally identifiable information and shall be used exclusively to improve the service, research trends and produce aggregated statistics.

In relation to AI tools, the metrics provided to the client company are always presented in aggregated form with a minimum anonymization threshold of k-anonymity ≥5 (i.e., any aggregated data corresponds to a group of at least 5 individuals), so that individual identification is not possible. The client company does not have access to conversation content or individual user scores.

Any other use of personal data or information beyond service provision and anonymized research shall require the express consent of the data subjects.

9.- GAMIFICATION AND USER VISIBILITY

Some Mentiness tools (such as LeIA) may include gamification features such as personalized scenario calendars, challenges and achievements, with the aim of encouraging participation and continued use of the service.

Completed achievements and challenges may be visible to other users within the same program. However, skill scores, individual evaluations and simulation content are never exposed to other users or to the client company.

10.- WARRANTIES

MENTINESS warrants that the services offered will conform to their description, subject to the following limitations:

• All implied warranties and conditions shall only be in effect during the services offered, to the extent permitted by law.
• They do not cover problems caused by accident, misuse or use of the services in a manner incompatible with what is offered, or arising from events beyond the reasonable control of MENTINESS.
• They do not apply to periods of downtime or other access interruptions.
• In relation to AI tools, MENTINESS does not warrant that AI-generated responses will be complete, accurate or suitable for all circumstances. AI results are indicative and do not replace professional human judgment.

11.- TERMINATION AND DATA DELETION

In the event of contract termination due to material breach, if MENTINESS is unable to provide the service or in the event of server failures, the client shall be entitled to a proportional refund of the fee paid for the period of service that could not be enjoyed, which shall be processed through the same payment method used for the original payment.

Upon termination of the service contract with the client company, regardless of the cause:

• User access to the platform and AI tools will be deactivated.
• Personal data, conversation content and scores will be deleted in accordance with the timelines established in the Privacy Policy and the Data Processing Agreement (DPA) signed with the client company (by default: raw metrics ≤90 days; backup copies 35 additional days).
• Anonymized aggregated metrics may be retained indefinitely, as they do not contain identifiable personal data.

12.- SECURITY AND LIMITATION OF LIABILITY

MENTINESS shall adopt the necessary measures to ensure the integrity of the available service, and of the data and information collected, but shall not be liable for what occurs beyond its control.

In the event that the user is redirected to other third-party websites or platforms, MENTINESS shall not be liable for what occurs through browsing thereon.

To the extent permitted by law, MENTINESS shall not be liable for incorrect or imprudent use of Mentiness by users.

13.- DISCLAIMER

MENTINESS shall not be liable for the consequences arising from the provision of services by health professionals, who shall be solely responsible therefor.

In relation to AI tools, MENTINESS shall not be liable for decisions made by the user or the client company based on the responses, feedback or scores generated by artificial intelligence. AI tools provide simulated and indicative content for training purposes, and the user assumes responsibility for evaluating and contextualizing such content before applying it in real situations.

Nor shall it be liable for the misuse or abuse of the website or AI tools made available to its users.

MENTINESS guarantees the availability of the service for the duration of the contract, provided that no external causes or force majeure events prevent it.

14.- MODIFICATIONS AND SEVERABILITY

MENTINESS reserves the right to update and modify these legal texts, and therefore recommends reading them each time the user accesses or uses Mentiness.

In the event that any clause of these Terms and Conditions, Privacy Policy or Cookie Policy is declared wholly or partially null or ineffective, such nullity or ineffectiveness shall only affect that clause, with the remaining conditions continuing in force and the affected provision being deemed unwritten.

15.- APPLICABLE LAW AND JURISDICTION

These Terms and Conditions, and the Privacy and Cookie Policies, shall be interpreted and governed in accordance with Spanish law. In the event of a dispute, it shall be resolved through Equity Arbitration of the Arbitration Court of the Chambers of Commerce and Industry of Vilagarcía de Arousa, with the express waiver of any other jurisdiction that may apply, except as expressly provided by law.
